These Terms and Conditions govern your access to and use of JobSite Intel AI, part of Varshyl Inc. ("Varshyl," "we," "us," or "our").

By accessing or using the website, mobile application, platform, or services, you agree to these Terms. If you do not agree, do not use the service.

Platform Purpose

JobSite Intel AI provides field documentation, project intelligence, AI-assisted summaries, reporting, and operational organization tools for construction, insurance, restoration, facilities, and field-based businesses.

The platform is designed to help users capture and organize information. It does not replace professional judgment, and it does not constitute legal, insurance, engineering, safety, or financial advice.

No Professional Advice

JobSite Intel AI does not provide legal advice, insurance advice, accounting advice, tax advice, engineering advice, safety certification, or regulatory compliance advice.

Any AI-generated content, report, summary, risk flag, or recommendation is for informational and operational support only.

Users should consult qualified professionals before making legal, insurance, financial, safety, engineering, or compliance decisions.

User Responsibilities

Users are responsible for:

• Accuracy of uploaded information and project data
• Project management and field operations decisions
• Billing and payment decisions
• Insurance submissions and communications
• Legal compliance, including applicable labor and safety laws
• Safety compliance on jobsites
• Content uploaded by their organization and team members
• Reviewing AI-generated outputs before relying on them
• Maintaining account security
• Obtaining all necessary permissions for uploaded content, including permissions to record audio and video in applicable jurisdictions

Account Access and Security

Users may be required to create an account. Users agree to provide accurate information and maintain the confidentiality of login credentials.

Users are responsible for all activity occurring under their accounts. If you suspect unauthorized access to your account, notify us immediately at kapilav@varshyl.com.

Uploaded Content

Users may upload photos, videos, documents, notes, voice recordings, transcriptions, project data, and other content.

Users represent that they have the legal right and all necessary permissions to upload and use such content, including applicable voice recording consent laws in their jurisdiction.

Users retain ownership of their uploaded content.

By uploading content, users grant JobSite Intel AI and Varshyl Inc. a limited license to host, process, store, transmit, organize, analyze, and display the content as necessary to provide the service.

AI Features and Consent

JobSite Intel AI uses artificial intelligence — including voice transcription, narrative generation, summarization, risk identification, and report creation — to power core platform features.

AI processing of your uploaded content is part of the core service. By using the platform, you acknowledge that photos, voice notes, video, and project data you upload will be processed by AI systems to generate reports, summaries, and insights.

Separately, you may be asked at signup to opt into the Construction Intelligence Engine — an anonymized, aggregated data program designed to improve construction intelligence over time. This opt-in is voluntary, separate from these Terms, unchecked by default, and can be changed in your account settings at any time. Declining this opt-in does not affect access to the platform.

AI outputs may be incomplete, inaccurate, or missing important context. Users must review AI-generated outputs before relying on them for billing, insurance, legal, safety, or project decisions.

JobSite Intel AI does not guarantee the accuracy, completeness, legal sufficiency, insurance sufficiency, or financial usefulness of AI-generated content.

Voice Recordings

Certain features allow users to create voice recordings using their device microphone. By using voice recording features:

• You confirm you have obtained all consents required by law in your jurisdiction (including two-party consent states) for any recorded conversations.
• You acknowledge that recordings will be transcribed by AI systems.
• You are responsible for compliance with applicable wiretapping, eavesdropping, and recording consent laws.

Current Billing Status

JobSite Intel AI v1.1 is free to use. There are no subscription fees, in-app purchases, or paid features during the current release.

Paid subscriptions are planned for a future release (v1.2+). If you have agreed to a price with Varshyl Inc. during the free pilot period, that agreed price will be honored when paid features launch. We will provide clear advance notice before any charges apply, and you will have the opportunity to accept or decline at that time.

Account Deletion and Data Grace Period

You may request deletion of your account through the platform (Settings → Danger Zone → Delete Account).

Upon deletion request, your account enters a 30-day grace period during which your data remains accessible and the deletion can be cancelled. After the 30-day period, your account and associated data are permanently deleted, subject to the retention exceptions described in the Privacy Policy.

Acceptable Use

Users may not use the platform for any unlawful purpose or in any way that violates our Acceptable Use Policy at /acceptable-use.

Prohibited uses include uploading malicious code, attempting unauthorized access, interfering with platform operation, submitting knowingly false project records, misrepresenting information, uploading content you do not have rights to use, using the platform to commit fraud, harassing or harming others, reverse engineering platform functionality, attempting to bypass security controls, or scraping platform data.

JobSite Intel AI may suspend or terminate accounts engaged in prohibited behavior.

Insurance and Claims Use

JobSite Intel AI may help organize documentation that users may choose to use in connection with insurance events or claims. JobSite Intel AI does not guarantee claim approval, payment, coverage decisions, dispute outcomes, or acceptance of documentation by any insurance carrier, adjuster, court, owner, contractor, or third party.

Users remain responsible for all insurance communications and claim submissions.

Billing and Payment Support

JobSite Intel AI may help organize information that can support billing, change orders, delay documentation, or payment requests. JobSite Intel AI does not guarantee payment, change order approval, collection, lien rights, or dispute resolution.

Users are responsible for verifying all billing and payment information.

Service Availability

We aim to provide reliable service but do not guarantee uninterrupted, error-free, or fully secure operation. The platform may be updated, modified, suspended, or discontinued at any time.

Third-Party Services

JobSite Intel AI relies on third-party services including cloud hosting, storage, AI providers, communications, authentication, and error monitoring. For a current list, see /subprocessors.

JobSite Intel AI is not responsible for third-party outages, errors, data practices, or terms.

Intellectual Property

JobSite Intel AI, Varshyl Inc., software, design, branding, workflows, features, and related intellectual property belong to Varshyl Inc. or its licensors. Users may not copy, modify, distribute, sell, or exploit the platform without permission.

Beta Features Disclaimer

JobSite Intel AI may offer beta, experimental, pilot, early-access, AI-preview, or limited-release features. Such features may be incomplete, change without notice, contain errors, generate unexpected outputs, or be discontinued at any time. Beta features are provided without warranties of any kind.

Disclaimers

The platform is provided on an "as is" and "as available" basis without warranties that the service will meet every requirement, produce specific outcomes, prevent disputes, ensure payment, or eliminate business risk.

Limitation of Liability

To the maximum extent permitted by law, JobSite Intel AI and Varshyl Inc. shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, claim denial, project delay, or payment disputes.

Indemnification

Users agree to defend, indemnify, and hold harmless JobSite Intel AI and Varshyl Inc. from claims, damages, losses, liabilities, and expenses arising from user content, misuse of the platform, violation of these Terms, or violation of law or third-party rights.

Dispute Resolution

We encourage you to contact us first at kapilav@varshyl.com. Most concerns can be resolved informally within a reasonable timeframe.

If informal resolution fails, disputes shall be resolved by binding arbitration under the American Arbitration Association rules, on an individual basis, in Alameda County, California. Class actions and jury trials are waived to the maximum extent permitted by law. You retain the right to bring qualifying claims in small claims court.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules.

Business Transfers

Varshyl Inc. may transfer platform assets and related data in connection with acquisitions, mergers, financing, or similar transactions, subject to applicable law.

Electronic Signature Consent

By using JobSite Intel AI, you agree that electronic acknowledgements, digital approvals, workflow confirmations, and platform-based authorizations constitute legally binding agreements where permitted by applicable law.
